1. Definitions

• Client: The individual or entity that engages i3 Designers for Services.

• Services: Web development, eCommerce website design, and other related services provided by i3 Designers.

2. Scope of Services

• i3 Designers provides professional web development, eCommerce website creation, and associated services tailored to client requirements.

• All specifications, functionalities, and design elements will be agreed upon in writing before commencing work.

3. Payment Terms

• A minimum deposit of 50% of the quoted project price is required to initiate any project.

• The remaining balance must be paid upon project completion and prior to website delivery.

• Payments are accepted via [Bank Transfer, UPI, or other specified modes].

4. Intellectual Property

• All deliverables created during the project shall remain the property of i3 Designers until full payment is received.

• Upon receipt of full payment, the intellectual property rights will transfer to the Client, except for any third-party materials used under licensing agreements.

5. Client Responsibilities

• Provide all necessary content, information, and approvals required for the project.

• Ensure all provided materials comply with copyright and legal standards.

6. Project Timelines

• Project timelines will be mutually agreed upon during the initial discussions.

• Delays in approvals or provision of required materials from the Client may impact the agreed timeline.

7. Revisions and Changes

• Clients are entitled to [two] rounds of revisions during the development process.

• Additional revisions or changes beyond the agreed scope may incur extra charges.

8. Limitation of Liability

• i3 Designers will not be held liable for any indirect, incidental, or consequential damages arising from the use of the Services.

• We shall not be responsible for issues arising from third-party hosting, plugins, or services used by the Client.

9. Termination

• Either party may terminate the agreement with [15 days’ written notice].

• In case of termination, i3 Designers will deliver completed work proportional to the payments received.

10. Confidentiality

• Both parties agree to keep all project-related information confidential unless required for execution or mutually agreed upon for disclosure.

11. Governing Law
